1) Terms of Use (Terms & Conditions)

1.1 Acceptance of these Terms

By accessing or using swapninja.io (the “Site”) and any related products (including any browser extension, tools, dashboards, or services, the “Services”), you agree to these Terms. If you do not agree, do not use the Site or Services.

1.2 Eligibility

You must be at least 18 years old and able to form a legally binding contract. You must not use the Services where doing so would be unlawful. You are responsible for complying with laws and regulations that apply to you (including tax rules).

1.3 What Swap Ninja is (and isn’t)

Swap Ninja provides tools intended to help users discover tokens and interact with third-party crypto services more efficiently (for example: overlays, routing helpers, automation features, token discovery, and risk indicators).

Swap Ninja is not a bank, broker, exchange, custodian, investment adviser, or financial planner. Nothing on the Site or in the Services is financial, investment, legal, or tax advice.

1.4 Non-custodial — you control your funds

Swap Ninja is 100% non-custodial. We do not hold your crypto, your private keys, or your seed phrase.

You are solely responsible for:

• protecting your wallet and private keys

• verifying addresses, token contracts, and transaction details

• understanding slippage, MEV, gas/network fees, and execution settings

1.5 Third-party platforms and integrations

The Services may connect to or display information from third parties (wallets, DEXs, bridges, RPC providers, analytics tools, and social platforms). Those third parties are not under our control.

We do not guarantee third-party availability, pricing, liquidity, execution quality, security, or correctness.

1.6 Trading risks & no guarantees

Crypto assets are volatile and high risk. You can lose all funds used in trading. Fast execution, automation, and “sniping” style features can increase both gains and losses.

Any “signals”, “AI insights”, “risk shields”, “risk scores”, or token flags are provided for information only and may be inaccurate, delayed, incomplete, or manipulated. They are not guarantees.

1.7 Fees

Swap Ninja may offer paid features (e.g., subscriptions or partner features). If fees apply, they will be disclosed before you incur them.

You are also responsible for third-party fees and network costs (gas, spreads, slippage, MEV, bridge fees, etc.).

1.8 Acceptable use

You agree not to:

• use the Services for illegal activity, fraud, scams, or market manipulation

• attempt to steal funds, keys, data, or accounts

• reverse engineer, scrape, overload, or disrupt the Services

• bypass security measures or introduce malware

• infringe intellectual property rights

We may restrict or suspend access to protect users, comply with law, or prevent abuse.

1.9 Intellectual property

Swap Ninja branding, UI, content, and software are owned by Ninja Swap Ltd or licensors. You may not copy, resell, or commercially exploit the Services without written permission.

1.10 Disclaimers

The Site and Services are provided “as is” and “as available”. We do not promise uninterrupted availability, error-free operation, or any particular results.

1.11 Limitation of liability (includes your requested clause)

To the fullest extent permitted by law, Swap Ninja and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, loss of goodwill, business interruption, or other intangible losses, arising out of or related to your use of the Site or Services.

Without limiting the above, and to the fullest extent permitted by law, Swap Ninja will not be liable for losses or damages arising from:

• trading decisions, price volatility, missed opportunities

• slippage, MEV, failed transactions, chain outages, or congestion

• hacks, exploits, rugs, scams, or smart-contract vulnerabilities

• third-party platform failures or inaccurate third-party data

If any liability cannot be excluded under applicable law, our total aggregate liability will be limited to the greater of:

• the amount you paid to Swap Ninja in the 3 months before the event giving rise to the claim, or

• £100 (or the equivalent in local currency)

Nothing in these Terms excludes or limits liability that cannot be excluded by law (for example, fraud).

1.12 Indemnity

You agree to indemnify and hold harmless Swap Ninja and its affiliates from claims, losses, liabilities, and expenses arising from your misuse of the Services, your breach of these Terms, or your violation of law or third-party rights.

1.13 Termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, if required by law, or to protect the Services or users.

1.14 Changes to these Terms

We may update these Terms from time to time. The “Last updated” date will reflect the latest version. Continued use means you accept the updated Terms.

1.15 Governing law & jurisdiction (UAE + UK handling)

These Terms are intended to be governed by the laws of Dubai, United Arab Emirates, and disputes shall be subject to the jurisdiction of the competent courts of Dubai, UAE.

UK note: If you are a consumer located in the United Kingdom, you may also benefit from mandatory consumer protection rights under UK law that cannot be excluded by contract.

• Support emails and messages if you contact us (e.g., your email address and the content of your message.

If you choose to email us, your email provider and our email provider will process that communication.

2.3 How we use your information

We use support communications only to:

• respond to enquiries and provide support

• improve documentation and troubleshooting (internally)

2.4 Legal bases (where relevant)

Where applicable, we process support communications based on:

• legitimate interests (responding to enquiries and running the service), and/or

• contractual necessity (where you request support related to Services)

2.5 Sharing

We do not sell personal data. We may share support communications with service providers strictly to operate email/support (e.g., email hosting), or where legally required.

2.6 Retention

We keep support communications only as long as reasonably necessary for support, operational record-keeping, and resolving disputes, then delete or anonymise where possible.

2.7 Security

We use reasonable measures to protect support communications. No system is completely secure.

4) Risk Disclosure

Crypto trading is risky and speculative. By using Swap Ninja, you acknowledge:

• you may lose all funds used in trading

• execution is not guaranteed and may be affected by congestion, MEV, slippage, or third-party failures

• token information and risk indicators can be inaccurate or manipulated

• you are solely responsible for verifying contracts, addresses, and transaction details
